Vendor  Terms and Conditions

These terms and conditions apply to each Vendor  who wishes to advertise on any print or digital marketing and/or promotional platform  operated by NBN Connect Ltd. (“Organizer”), including, the Life in Israel Directory (the “Directory”, and together with other marketing platforms: the “Platforms”). All content that Vensor submits for inclusion in the Platform, including the wording and/or any media in an advertisement shall be known as “Vendor Content”:

  1. Vendor understands that submission of a request for inclusion in a Platform, does not guarantee inclusion. 
  2. Participation in a Platform does not guarantee that Vendor’s services will be sold or generate any specific income or revenue. Vendor expressly acknowledges that there may be additional service providers included in the Platform offering the same services. 
  3. Each Platform is a stand-alone service and inclusion in one Platform does not guarantee inclusion in any other Platform. 
  4. Participation in some Platforms or in specific services therein may be subject to the payment of certain fees specified on the applicable Platform landing page. 
  5. Vendor warrants that (i) Vendor Content and all other information submitted by it to the Organizer is current and accurate and not misleading; (i) Vendor conducts its business in accordance with applicable law:  (iii) Vendor owns the rights to all Vendor Content and no part of such content is inappropriate/obscene/defamatory, infringes on any third party rights or is otherwise in violation of any applicable laws.  
  6. Organizer’s agreement to include Vendor in the Platform is based on the understanding that Vendor will provide a concrete benefit, such as a discount, to olim who avail themselves of Vendor’s services, and customer service in English. 
  7. Vendor is solely responsible for following Organizer’s instructions with respect to the technical requirements and terms and submission requirements for inclusion in the Platform, as well as for the graphic design and for the accuracy of all Vendor Content. Organizer will not be responsible for issues or problems that arise as a result of Vendor’s failure to comply with the above.
  8. Organizer has sole and full discretion with respect to the design and layout of all Platforms. Vendor shall have no claim against Organizer with respect to the placement of the Vendor Content within the specific platform or regarding the inclusion of any other content of other vendors. Vendor is aware that it has no right of exclusivity and that ads of competitors may also appear in the relevant Platform.
  9. Organizer reserves the right to refuse to include or to remove any Vendor from any Platform  or to demand a change to Vendor Content for any reason, including, but not limited to, service assessments based on olim feedback or Vendor Content that is, in Organizer’s judgment, not in accordance with these Terms and Conditions. Vendor’s sole recourse with respect to refusal to include a Vendor in a Platform shall be receipt of a refund of a fee if paid.
  10. A Vendor participating in a Platform may describe itself as a “Service Provider in the specific platform” or by such other wording expressly approved in advance by the Organizer, solely during the time that Vendor participates in the applicable Platform. 
  11. Vendor understands that participation in a Platform does not constitute, and shall not be represented by Vendor as constituting, any endorsement, guarantee, warranty, certification, accreditation, agency, partnership, franchise, sponsorship, employment relationship or assumption of responsibility by the Organizer, by Nefesh B’Nefesh Aliyah (RA), the Ministry of Aliya and Integration and/or any governmental entity, with respect to Vendor, Vendor’s services, Vendor’s personnel, Vendor’s prices, Vendor’s availability, Vendor’s professional qualifications, Vendor’s licenses, or the quality, legality, safety or performance of any services provided by Vendor
  12. Vendor shall not make any statement, publish any advertisement, use any logo, badge, trade name, trademark, screenshot, review, customer reference or other material, or engage in any marketing or social-media activity, in a manner that is false, misleading, deceptive, disparaging, unlawful, or likely to create confusion as to the nature of Vendor’s relationship with the Organizer or the scope of the Organizer’s review, approval or responsibility.
  13. Any use of the Organizer’s or Nefesh B’Nefesh Aliyah (RA)’s name, logo, badge, aforesaid service provider designation or other brand assets is subject to the Organizer’s prior written approval.
  14. The Organizer may require Vendor to amend, remove or cease any publication, advertisement, social-media post, website statement, email signature, printed material or other use that the Organizer reasonably considers inconsistent with these T&C, applicable law, or the Organizer’s reputation. Vendor shall comply with any such request promptly and, in any event, within the timeframe specified by the Organizer.
  15. Vendor is solely responsible for all services it provides and for all claims, representations, advertisements, offers, discounts, testimonials, reviews, professional qualifications, regulatory licences and other statements made by or on behalf of Vendor. Vendor shall comply with all applicable laws, rules and platform policies, including consumer protection, advertising, privacy, data protection, anti-spam and professional regulatory requirements.
  16. Vendor shall be solely liable for any damage, loss, or injury caused by Vendor in connection with the provision of any goods or services arising from Vendor’s inclusion in the Platform. Vendor shall indemnify and hold harmless Organizer, Nefesh B’Nefesh Aliyah (RA), their respective officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with (a) a breach of these T&C by Vendor and/or anyone on its behalf, and/or (b) any claim by a third party in relation to Vendor Content and/or to goods or services and/or advice provided by Vendor.
  17. If the Platform includes participation in an event, the Vendor acknowledges that for security reasons event locations are confidential and may not be published, advertised, disclosed, distributed, or shared in any format or forum with any person or entity whatsoever, under any circumstances, without prior written authorization. 
  18. These Terms and Conditions shall be governed by the laws of the State of Israel, and the competent courts of Jerusalem shall have exclusive jurisdiction with respect to any disagreement or claim arising therefrom.
